App Terms of Service
App terms of service
These Terms of Service ("Terms") are a binding agreement between you and Impelechy LLC ("Impelechy," "we," "us," or "our") governing your use of Scriptorio, our iOS application (the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.
Two things worth reading before the rest: Section 06 explains that your notes remain yours and sets out the narrow licence you give us to run the service, and Section 16 contains an arbitration agreement and a class-action waiver that affect how disputes between us are resolved — you may opt out of it within 30 days.
Questions about anything here: [email protected].
01 — Who We Are
Impelechy LLC is a limited liability company registered in the State of Wyoming, United States. Impelechy LLC is the provider of the App and your counterparty under these Terms.

How we handle personal information is described separately in our App Privacy Policy, which forms part of these Terms.
02 — Who May Use Scriptorio
- Age: You must be at least 13 years old. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or legal guardian, who accepts these Terms on your behalf.
- Capacity: You must be able to form a binding contract, and you must not be barred from using the App under the laws of your country of residence.
- Availability: The App is distributed only in the App Store regions we have selected. It is not currently offered in the European Union or the European Economic Area. If you reach the App from a region outside our distribution list, contact us before creating an account so we can confirm whether we may lawfully provide the service to you.
- Export controls: You represent that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
03 — Your Account
You need an account to use the App. You can create one with an email address and a password, or with Sign in with Apple.
- Provide accurate information and keep it current.
- You are responsible for keeping your credentials confidential and for everything that happens under your account.
- Tell us promptly at [email protected] if you suspect unauthorised access.
- One account per person. Do not share your account, and do not create accounts by automated means or to obtain additional free trials.
04 — Free Trial
New accounts receive a free trial period, currently 14 days, which begins when you first sign up. The trial requires no payment method and does not convert into a paid subscription on its own — when it ends, the App's features become unavailable until you choose to subscribe.
The trial is offered once per person and per device. We use technical measures to detect repeated trial sign-ups, and we may decline or shorten a trial where we reasonably believe it has already been used, or where an account was created to circumvent this limit. We may change the length of the trial for future sign-ups; a change never shortens a trial already running.
05 — Subscriptions, Billing, and Refunds
Continued access after the trial requires an auto-renewing subscription, available as a monthly or an annual plan. The current price, billing period, and any applicable taxes are shown in the App before you confirm the purchase, and in your local currency where the App Store supports it.
- Apple processes all payments. Purchases are made through your Apple Account. We never receive or store your payment card details.
- Auto-renewal: Your subscription renews automatically at the end of each billing period unless you cancel it at least 24 hours before the period ends. Apple charges your Apple Account within 24 hours before the start of each new period.
- Cancelling: Manage or cancel your subscription in the App under Settings → Subscription, or at any time in your Apple Account settings. Cancelling stops future renewals; your access continues until the end of the period you have already paid for.
- Refunds: Because Apple is the merchant of record, refunds are handled by Apple under its own policy, not by us. Request one at reportaproblem.apple.com. We cannot issue, guarantee, or reverse an App Store refund. Where the law of your jurisdiction grants you a statutory right to a refund or withdrawal, that right applies regardless of this paragraph.
- Price changes: We may change subscription prices. Apple will notify you and, where required, ask for your consent before a changed price takes effect for your subscription. If you do not agree, you may cancel before the next renewal.
06 — Your Content and the Licence You Grant Us
Your content stays yours
You retain all rights you hold in the notes, marginalia, ratings, takeaways, themes, and other material you add to Scriptorio ("Your Content"). We claim no ownership in it.
The licence you give us
To run the service at all, we need your permission to move Your Content through our systems. You therefore grant Impelechy LLC a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, reformat, and create technical derivatives of Your Content — for example search indexes, the on-device semantic vectors that power the connections graph, exported files, and the shareable images the App renders when you ask it to — and to sublicense these rights to the service providers listed in our App Privacy Policy, solely to operate the App and deliver its features to you.
This licence exists only for that purpose, and it ends when Your Content is permanently deleted from our systems. Because deletions are propagated between your devices before the underlying records are removed, this may be up to 90 days after you delete an individual item, and correspondingly sooner when you delete your entire account. Copies held in routine backups are removed as those backups age out.
What we will never do with it
- We will not use Your Content for marketing or promotion.
- We will not publish it or make it available to other users.
- We will not sell it or license it to anyone else.
- We will not use it to train machine-learning models — ours or anyone else's.
We may compile aggregated, de-identified statistics about how the App is used (for example, how many notes an average library contains) and use them to operate and improve the service. Such statistics never contain Your Content and cannot reasonably be traced back to you.
What you promise us
You are responsible for what you put into Scriptorio and for what you share out of it. You confirm that you have the right to store the material you capture, and that any excerpt you share publicly through the App's export features is one you are permitted to reproduce — under fair use, an applicable copyright exception in your jurisdiction, or the rightsholder's permission.
07 — Quotations, Sharing, and Copyright
Scriptorio is built for capturing passages from works you are reading. Keeping short excerpts for private study, annotation, and recall is a well-established personal use. Publishing them is a different act, and it is yours.
- The App can render a shareable image from a note or a pair of connected notes and hand it to iOS's system share sheet. We do not host, cache, or publish that image; from the moment you choose a destination, that service's terms apply.
- Excerpts in shared images are limited in length and always carry title and author attribution. Do not defeat these measures, and do not use the export features to reproduce substantial portions of a work.
- You are solely responsible for any material you share publicly and for ensuring you have the right to do so.
Copyright complaints. Scriptorio does not host publicly accessible user content, so there is nothing on our systems for us to take down at a third party's request. If you nevertheless believe something we do infringes your copyright, write to [email protected] with a description of the work, the material you object to, your contact details, and a statement that you hold the rights concerned. We will review every such notice.
08 — Acceptable Use
You agree not to:
- Use the App for anything unlawful, or to store or share material that is unlawful in your jurisdiction;
- Reverse engineer, decompile, or disassemble the App, except to the extent this restriction is prohibited by applicable law;
- Access our servers or APIs other than through the App, or attempt to bypass authentication, rate limits, or the trial and subscription checks;
- Probe, scan, or test the vulnerability of our systems, or interfere with their operation;
- Scrape or bulk-extract data from the App or our services, or use automated means to create accounts or generate traffic;
- Resell, sublicense, or provide the App as a service to third parties;
- Use the App in a way that imposes an unreasonable load on our infrastructure or degrades it for other users.
We may suspend or terminate access that violates this section, and we may apply rate limits and other technical protections without notice.
09 — The App Itself
The App, its design, its source code, the Scriptorio name and logo, and everything we supply through it other than Your Content belong to Impelechy LLC or our licensors. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use one copy of the App on Apple-branded devices you own or control, in line with the App Store Terms of Service. All rights not expressly granted are reserved.
Feedback you send us is welcome and unrestricted: if you suggest an improvement, we may act on it without obligation or compensation to you. This does not give us any right in Your Content.
We may add, change, or remove features over time, and we may release updates that your device installs according to your iOS settings.
10 — Sync, Backups, and Third-Party Data
- Scriptorio is not a backup service. Synchronisation between your devices is a convenience feature, not a guarantee of durability. Keep your own copies of anything you cannot afford to lose — Settings → Data & Privacy → Export produces a portable JSON file of your books, notes, and themes.
- Sync is best-effort. Changes may take time to propagate, may arrive out of order, and can be affected by connectivity or by conflicts between devices. We do not warrant that every change reaches every device.
- Book information comes from third parties. Titles, authors, descriptions, page counts, and cover images are retrieved from external catalogues and may be incomplete, outdated, or wrong. Cover images remain the property of their respective rightsholders and are displayed to help you identify works in your own library.
- Connections and review scheduling are aids, not authorities. Suggested connections between notes, the one-sentence explanations that accompany them, and spaced-repetition scheduling are generated automatically and may be inaccurate or unhelpful. Use your judgement.
11 — Third-Party Services
The App relies on third-party providers for authentication, storage, subscription management, transactional email, analytics, book metadata, and the connection explanations described above. They are listed, with what each receives, in our App Privacy Policy. Their own terms govern their services. We are not responsible for their acts or omissions beyond our responsibilities under these Terms and applicable law.
12 — Termination
- By you: Stop using the App at any time. To remove your data, use Settings → Account → Delete Account, which deletes your account and all associated records from our systems. Deleting your account does not by itself cancel an active subscription — cancel that separately through Apple, as described in Section 05.
- By us: We may suspend or terminate your access if you materially breach these Terms, if we are required to by law, or if providing the service to you would expose us to legal risk. Where circumstances allow, we will give you notice and an opportunity to put things right.
- Discontinuation: If we ever discontinue the App, we will give reasonable advance notice so you can export your data.
- What survives: Sections 06 (as to acts already performed and to the wind-down period described there), 07, 09, 13, 14, 15, 16, 17, and 20 survive termination.
13 — Disclaimers
The App is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the App will be uninterrupted, error-free, or secure, that defects will be corrected, or that data will always sync completely or on time.
Some jurisdictions do not allow the exclusion of implied warranties. Where that is the case, the exclusions above apply to you only to the extent permitted, and nothing in these Terms limits any non-waivable statutory rights you have as a consumer.
14 — Limitation of Liability
To the fullest extent permitted by law, Impelechy LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or relating to your use of the App — even if we have been advised of the possibility of such damages.
Our total aggregate liability for all claims relating to the App is limited to the greater of (a) the amount you paid us for the App in the twelve months before the event giving rise to the claim, or (b) fifty US dollars (US$50).
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, for death or personal injury caused by negligence, or under any non-waivable consumer protection statute that applies to you.
15 — Indemnity
You agree to indemnify and hold harmless Impelechy LLC and its members, officers, and agents from any claim, demand, loss, or expense (including reasonable legal fees) arising out of Your Content, your publication or sharing of material through the App's export features, your breach of these Terms, or your violation of any law or of the rights of a third party. We will notify you of any such claim and may participate in its defence at our own expense.
16 — Dispute Resolution, Arbitration, and Class-Action Waiver
It requires most disputes between us to be resolved by individual arbitration rather than in court, and it waives your right to participate in a class action. You may opt out within 30 days — see "Your right to opt out" below. Opting out costs you nothing and does not affect any other part of these Terms or your use of the App.
Talk to us first
Before starting arbitration, please email [email protected] with a short description of the dispute and the resolution you are seeking. Most issues can be settled that way. Both of us agree to attempt an informal resolution for 60 days before either side begins a formal proceeding. This period pauses any applicable limitation period.
Agreement to arbitrate
If we cannot resolve the dispute informally, you and Impelechy LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, before a single arbitrator. The arbitration will take place in Sheridan County, Wyoming, or by videoconference or on documents alone, at your election. The arbitrator may award the same individual relief a court could, and the award may be entered as a judgment in any court of competent jurisdiction.
Exceptions
- Either of us may bring an individual claim in small-claims court if it qualifies.
- Either of us may seek injunctive relief in court to stop unauthorised use or infringement of intellectual property.
- Nothing here prevents you from reporting a concern to a government agency, or from participating in a proceeding brought by one.
Class-action waiver
Arbitration and any court proceeding permitted above will be conducted only on an individual basis. Neither of us may bring a claim as a plaintiff or class member in a class, consolidated, or representative action, and the arbitrator may not consolidate claims or preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim or a particular request for relief, then that claim or request is severed from arbitration and will be brought in the courts identified in Section 17; the remainder of this Section 16 continues to apply to everything else.
Your right to opt out
You may reject this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, with the subject line "Arbitration Opt-Out" and including the email address on your account. That is all that is required. If you opt out, disputes between us will be resolved in the courts identified in Section 17, and the rest of these Terms continue to apply unchanged.
Changes to this section
If we materially change this Section 16 in the future, the change will not apply to any dispute of which we had actual notice at the time, and you will have a fresh 30-day period to opt out of the revised version.
17 — Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration under Section 16, you and Impelechy LLC submit to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, and each of us waives any objection to venue there.
If you are a consumer, this choice of law and venue does not deprive you of the protection of any mandatory provisions of the law of your country of residence.
18 — Apple-Specific Terms
The App is distributed exclusively through the Apple App Store. The following terms are required by Apple and apply in addition to everything above. If they conflict with another section, they control as to the subject matter they cover.
- These Terms are between you and Impelechy LLC only, not with Apple. Impelechy LLC, not Apple, is solely responsible for the App and its content.
- Apple has no obligation to furnish any maintenance or support for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
- Apple is not responsible for addressing any claims you or a third party have relating to the App or your possession or use of it, including product liability claims, claims that the App fails to conform to a legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
- If a third party claims the App or your use of it infringes that party's intellectual property, Impelechy LLC — not Apple — is solely responsible for the investigation, defence, settlement, and discharge of that claim.
- You must comply with any applicable third-party terms of service when using the App.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, have the right to enforce them against you.
19 — Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you in the App and update the "Last updated" date above. Changes take effect when posted, except that changes to Section 16 are handled as described there. Continuing to use the App after a change means you accept the updated Terms; if you do not, stop using the App and, if you wish, delete your account.
20 — General
- Entire agreement: These Terms and the App Privacy Policy are the entire agreement between you and Impelechy LLC about the App, and replace any earlier understanding on that subject.
- Severability: If a provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force.
- No waiver: If we do not enforce a provision, that is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
- Force majeure: Neither party is liable for delay or failure caused by events beyond its reasonable control.
- Notices: We may contact you at the email address on your account. You can reach us at [email protected] or at the postal address in Section 01.
- Language: These Terms are written in English. Any translation is provided for convenience; the English version governs.
